Contribution Agreement

This Contribution Agreement ("Agreement") is a legal document between You and Valve Corporation ("Valve"). It explains Your rights and obligations as a contributor to the video game Team Fortress 2 ("TF2"). Please read it carefully. You must agree and accept to these terms as set out below: changes, additions and deletions are not acceptable. You agree to these terms by clicking the "submit" button. If You do not agree to these terms, do not click the "submit" button and do not submit Your contribution.

  1. Contributions
    TF2 is an online video game offered by Valve for the PC. Valve accepts submissions of in-game items for TF2 ("Contribution(s)"). You may submit a Contribution pursuant to these terms and conditions.
  2. License
    1. You grant to Valve a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, assignable, right and license to use some, all or parts of the Contribution You submit. This license includes the right to, without limitation, (a) encode, digitize and store the Contributions; (b) use, publish, perform, display, reproduce, transmit, and broadcast the Contribution and create derivative works of the Contribution; and (c) add to, subtract from, manipulate, change, edit, revise, translate, rearrange or otherwise edit, and merge the Contribution with other materials for any purpose in Valve's sole discretion. Valve may exercise all of the foregoing rights in any and all formats or media (including without limitation online use), whether now known or hereafter devised, throughout the world.
    2. You retain the right to use the Contributions as You wish, even in the context of another game. However, You may not make any use of the Contribution that is inconsistent with the rights you have granted to Valve herein. For example, You may not license the Contribution to a third party on an exclusive basis or sell all rights in the Contribution.
  3. Representations and Warranties
    You represent and warrant:
    1. that You are free to enter into the Agreement, and that You have full legal power and authority to enter into this Agreement;
    2. that the Contribution submitted pursuant to this Agreement was originally created by You;
    3. that the Contribution submitted pursuant to this Agreement does not infringe any copyright, trade secret, trademark, or other proprietary right held by any third party; and
    4. that, to the best of Your knowledge, the Contribution submitted pursuant to this Agreement does not infringe any patent right held by any third party.
  4. Release
    You release Valve and all other licensses under this Agreement from any and all claims, now known or later discovered, You may have arising out of the use of the Contributions. If for any reason any court shall determine that this release is unenforceable, You agree that Valve's total liability to you in connection with any and all claims arising under this agreement or Valve's use of the Contributions shall not exceed $20 USD.
  5. No Obligation to Use
    You understand and agree that Valve is not obligated to use the Contributions and reserves the right but not the obligation to restrict or remove the Contributions from TF2 for any reason. As a result, if a third party claims that the Contributions are infringing, Valve may, in its sole discretion, remove the Contributions from TF2 and/or remove or block access to the Contributions. You hereby authorize Valve to take such action and release Valve from any and all claims, now known or later discovered, You may have arising therefrom.
  6. Entire Agreement
    You agree that this Agreement constitutes the sole agreement between You and Valve relating to the Contributions and that, except as expressly set forth in this Agreement, there are no agreements, representation or warranties between You and Valve relating to the Contributions.
  7. Consideration
    You have submitted the Contributions voluntarily and not in confidence, in trust or in reliance on any promise, oral or written, by Valve. You agree that You are not entitled to any rights or compensation in connection with the rights granted to Valve. You agree that this is adequate and sufficient consideration for the Contributions you are submitting and that Valve's decision regarding the form of any such credit shall be final and binding.
  8. Relationship
    Neither your submission of the Contribution nor Valve's use of it creates any confidential, fiduciary, agency, employment, joint venture, partnership or any other relationship or implied contract between you and Valve. Nothing in this Agreement will be construed to mean that any party is appointed or in any way authorized to act as an agent of the other party. This Agreement does not create any joint venture, partnership or formal business entity or organization of any kind.
  9. Governing Law
    The terms of this section may not apply to European Union consumers
    You agree that this Agreement shall be deemed to have been made and executed in the State of Washington, and any dispute arising hereunder shall be resolved in accordance with the law of Washington. You agree that any claim asserted in any legal proceeding by you against Valve shall be commenced and maintained exclusively in any state or federal court located in King County, Washington, having subject matter jurisdiction with respect to the dispute between the parties and You hereby consent to the exclusive jurisdiction of such courts. In any dispute arising under this Agreement, the prevailing party will be entitled to attorneys' fees and expenses.
